    WebKroo provides web design, development, branding, and digital marketing services. The specific scope, deliverables, timeline, and fees for any project will be outlined in a separate proposal or statement of work agreed upon by both parties prior to commencement.

    You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

    Client Work

    Upon full payment for services rendered, clients receive the rights to the final deliverables as specified in the project agreement. WebKroo retains the right to showcase completed work in its portfolio unless otherwise agreed in writing.

    4. Project Terms

    Proposals and Agreements

    All projects are governed by a separate proposal or agreement that outlines the scope, timeline, deliverables, and payment terms. In the event of a conflict between these Terms and a project agreement, the project agreement shall prevail.

    Payment

    • Payment terms are specified in individual project proposals
    • A deposit is typically required before work commences
    • Late payments may incur interest or result in work being paused
    • All fees are in Canadian dollars unless otherwise stated

    Revisions

    The number of revision rounds included in a project will be specified in the project proposal. Additional revisions beyond the agreed scope may incur extra fees.

    5. Limitation of Liability

    To the fullest extent permitted by law, WebKroo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Site or our services, including but not limited to loss of revenue, data, or business opportunities.

    Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project giving rise to the claim.

    6. Warranties and Disclaimers

    The Site and its content are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Site's accuracy, reliability, or availability. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    7. Indemnification

    You agree to indemnify and hold harmless WebKroo, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorney's fees) arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.

    We reserve the right to terminate or suspend your access to the Site at any time, without notice, for any reason. For project-based services, termination terms will be outlined in the applicable project agreement.

    The Site may contain links to third-party websites or services. We do not control and are not responsible for the content, privacy policies, or practices of any third-party sites. Your use of third-party sites is at your own risk.

    10. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ottawa, Ontario.
